The website www.umibufarms.com is managed and operated by Umibu Farms Private Limited (“UFPL”), a company incorporated under the provisions of the Companies Act, 2013. You are entering into a purchase/sale transaction with UFPL by placing an order on this site. The terms and conditions are hereby enumerated as follows
Definitions
“Agreement” means the terms and conditions as detailed herein including all schedules, appendices, exhibits, annexure, privacy policy, and will include the references to this Agreement as amended, supplemented, addended, varied or replaced from time to time. This Agreement is an electronic contract that establishes the legally binding terms you must accept to use the Site and to become our customer.
“Site” means www.umibufarms.com or the online shopping portal owned and operated by UFPL which provides a platform to the shoppers and buyers to shop or buy the products listed on the Site.
“Customer” / “Buyer” shall mean the person or any legal entity who accepts the offer for sale on Site by placing an order for and or purchasing any products offered for sale on the Site. “User”/ “You” means and includes you and/or any person or an entity using or accessing the services provided on this Site.
Eligibility
You represent and warrant that you are competent and eligible to enter into a legally binding agreement and have the requisite authority to bind the other party to this Agreement. You shall not use this Site if you are not competent to contract under the applicable laws, rules, and regulations.
Term and Termination
This Agreement shall be effective and continue to be valid and subsisting as long as you use our Site.
The Site provides an online shopping platform wherein the Users can purchase/buy the products and services listed on it pursuant to the terms and conditions set forth hereinbelow. By clicking on the payment button, you are agreeing to use the services in a manner consistent with and abide by the terms and conditions of this Agreement, our Privacy Policy, and all applicable laws and regulations.
Either User/ You or UFPL may terminate the Agreement at any time, with or without cause. However, UFPL reserves the right, at its sole discretion, to terminate your access to the products and services offered on the Site or any portion thereof at any time, without notice.
Modification or Alteration of Terms and Conditions
UFPL may at any time modify or alter the terms and conditions contained on the Site without any prior notification to you. You can access the latest version of the Terms and Conditions at any given time. You should regularly review the Terms and Conditions. In the event the modified or altered Terms and Conditions are not acceptable to you, you should discontinue using the site. However, if you continue to use the site you agree to accept and abide by the modified or altered Terms and Conditions.
Online Shopping Platform
You further agree and undertake that you are accessing the services available on this Site or mobile app of UFPL and transacting at your sole risk and are using your best and prudent judgment before entering into any transaction through this Site or mobile app of UFPL.
UFPL accepts no liability for any errors or omissions, whether on behalf of itself or third parties. The address mentioned by the User/you on the Site or mobile app of UFPL at which delivery of the products ordered by you be correct and proper in all respects.
After the receipt of payment from the Buyer, UFPL shall arrange for the delivery of the product to the recipient at the shipping address provided by the Buyer. Any and all orders placed by you on this Site are a firm commitment to purchase and you are obligated to complete the transaction and not contest it in any way. Delivery of the listed product shall happen or start from the 2nd day of placing the order.
Before placing an order, you are advised to check the product and price description carefully. By placing an order for a listed product you agree to be bound by the conditions of sale included in the item’s description.
Product Pricing
Product prices listed on the website are current. While labeling the product every care has been taken accurately to label the products, customers may face errors in data entry and UFPL may update the same on a time to time basis. UFPL reserves the right to cancel the order in case a subscription amount (excluding any cashback benefit) is refunded or refundable by placing the request to customer support. The refundable amount shall be credited to the customer’s bank account directly via UPI payment or wire transfer or any other suitable mode that UFPL at its discretion thinks better. Refund shall be credited within 5-7 working days of sharing the bank details. In case payments are done through a credit card, they will be refunded to the same mode of payment.
Offers
UFPL may its sole discretion provide offers to its customer. UFPL will regularly bring out exciting offers by publishing or showing the same on the Site.
Each offer shall be considered differently and cannot be clubbed with any other offer.
Maximum 1 Offer on 1 Address.
An offer shall be valid on the first subscription only.
Cancellation Policy
Customers can cancel/stop their subscription using Umibu Farms mobile application or by reaching out to customer support.
Multiple Accounts cannot be created with the same address, if found then Umibu Farms has the right to cancel/stop the Customer’s subscription.
Communication and Correspondence
By registering with Umibu Farms, you give us the permission to send you notifications or SMS on WhatsApp or on your contact number.
Copyright Policy
You as a customer of UFPL may post UFPL product reference on any site or online platform, but that post, distribute, or reproduce shall not be in the means of monetary benefits and breach in any way any copyrighted material, trademarks, or other proprietary information of UFPL. You shall take prior written consent of UFPL in case your post or reproduction as mentioned above will create any kind of infringement or breach of such proprietary rights.
Entire Agreement
These Terms and Conditions, combinedly with privacy policy, and other rules and policies posted on the Site, which are hereby incorporated as set forth fully in these Terms and Conditions, constitutes the entire agreement between you and UFPL with respect to your use of and material available through the Site and supersedes all prior or contemporaneous communications (including oral) and proposals and agreement between you and UFPL with respect to this Site. Any rights not expressly granted or covered in these Terms and Conditions are reserved.
Billing Policy & Payment
The bill shall generate at the time of taking a subscription of milk by the customer. Customers require to subscribe on a pre-paid basis. The billing cycles are 7 days and/or 30 days.
Customers may pay cash on delivery only at the time of ordering milk on a sample basis or placing one-time order. Customer shall pay cash to our delivery partner. Customers can pay through UPI-based payments also.
Return Policy
UFPL return policy gives you an option to return milk bottles within the same day of delivery and other products within 48 hours of delivery. Please don’t use milk and preserve its original packaging and seal. Opened or damaged products will not be returned. Customer shall be liable to pay at full for any damage, break of milk glass bottles occurred at the place of the customer.
Upon placing regular orders by way of subscription, you shall return the milk glass bottle in washed or unwashed conditions on the next day’s delivery time.
Customer Referral Program
One user can refer max 10 new users. However, the Referee and the Referrer cannot have the same address.
The Referrer should have done at least one subscription with UFPL in the last thirty (30) days of a minimum value of Rs. 280 or must have done a cumulative subscription of Rs. 1000 or more in their lifetime.
To be considered a successful Referral, the person you refer (the Referee) has to do at least one subscription of a minimum value of Rs. 280.
The Referrer gets 100% cashback up to a maximum of Rs. 200 per Referee, on the Referee’s first subscription of the minimum amount of Rs.280. UFPL reserves the right to revise the maximum cashback percentage and amount at any point of time during this referral program. Please read these terms and conditions carefully from time to time.
Referrer may get 2 (two) days’ free milk up to the maximum limit of 1 liter each day. In case the Referrer has subscribed and purchased 500 ml of milk per day then such Referrer may get 500 ml of milk each day for the maximum period of 2 (two) days.
UFPL reserves the right to modify or amend at any time these Terms and Conditions. UFPL reserves the right to disqualify any Referrers from participation at any time at their sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions.
The Referrer and the Referee agree to indemnify, release and hold harmless UFPL, from any and all claims, actions, demands, damages, losses, liabilities, costs, or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the referral program.
A person under 18 years of age, shall not use, access, or participate in the referral program at any time or in any manner.
UFPL shall not be liable for late, delayed, stolen, misdirected, inaccurate credits in relation to any information provided by the Referee or Referrer.
UFPL reserves the right to hold back the Cashback bonus for breach of these terms and conditions, as well as debit the bonus already credited, in case of violation of these terms and conditions mentioned in this Agreement.
Any and all disputes claims, and causes of action arising out of or related to the referral program shall be resolved under applicable Indian law and the courts of Bangalore shall have the sole and exclusive jurisdiction to try any dispute with regard to this referral program, irrespective of place of purchase/credit of bonus.
Pre-paid Products
To place an order for a prepaid product, you are required to subscribe on a weekly or monthly basis with the MRP of the listed product via the various payment modes available in the Site.
Communication Policy
By signing up with UFPL through its mobile app and Site, the customer agrees to receive communication on WhatsApp, push notifications, SMS, Email, Customer Support Calls.
Disclaimer
“UFPL as a Retailer shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time. UFPL further shall not be liable for the decline of any transaction in UPI or a similar kind of payment platform.
